GENERAL TERMS AND CONDITIONS
These General Terms and Conditions apply to all orders placed by customers through our e-commerce webshop, to all offers, invoices, agreements, and other dealings between BM-Ceramics, a division of Breugelmans BV, with its registered office at Sluizenstraat 147 – 8450 Bredene – Belgium – VAT BE 0538.922.496 – info@bmceramicstudio.com, and its customers (both individual consumers (B2C) and business customers (B2B)) within the European Union and the United Kingdom. BM-Ceramics specialises in the online sale of handmade ceramics. By placing an order, you agree to these Terms and Conditions.
1. APPLICABILITY
- 1.1 By placing an order with BM-Ceramics, the buyer acknowledges having read and accepted these General Terms and Conditions, excluding any general conditions of the buyer.
- 1.2 Deviations are only valid if expressly agreed in writing in advance between the buyer and BM-Ceramics.
2. PRODUCTS
- 2.1 All products sold on our website are handmade and may show minor variations and imperfections inherent to handmade items.
- 2.2 We strive to display product colours and images accurately. However, we cannot guarantee that colours on your device screen will be exactly true to life.
3. QUOTATIONS
- 3.1 Quotations and price offers remain valid for 14 days unless otherwise stated. Invoicing is based on the quotation and/or agreement, including any additional work ordered or performed.
- 3.2 Quotations may change due to unforeseen alterations in the scope of work.
- 3.3 All offers and quotations from BM-Ceramics are non-binding.
- 3.4 A combined quotation does not oblige BM-Ceramics to complete part of an order for a proportional part of the price unless explicitly agreed in writing.
- 3.5 The buyer accepts email communications as legally valid evidence.
- 3.6 The quotation/agreement will be executed after receipt of the deposit, being 50% of the total amount stated in the signed quotation/agreement, unless agreed otherwise in writing. If another deposit is agreed, this will be clearly stated in the quotation.
4. RIGHT OF WITHDRAWAL AND CANCELLATION
- 4.1 If the customer is a consumer (B2C), they have the right to withdraw from the contract within 14 days of its conclusion. The withdrawal period starts the day after the agreement is made. Withdrawal must be communicated in writing by email to info@bmceramicstudio.com. If BM-Ceramics has provided services at the customer's request during this period, these must be paid for.
- 4.2 If the client cancels an order, BM-Ceramics will invoice all work already carried out and all other services and products delivered.
- 4.3 If the client has paid a 50% deposit and BM-Ceramics has performed more work than that value, the excess can be invoiced as compensation for the work already performed.
- 4.4 Termination results in the immediate cessation of all work by BM-Ceramics and makes all outstanding invoices immediately due.
- 4.5 Custom-made orders cannot be returned.
- 4.6 Returned items must be in original condition and packaging. The customer is responsible for return shipping costs.
- 4.7 Once returned items are received and inspected, refunds will be processed within 7 working days to the original payment method.
5. PERFORMANCE OF THE AGREEMENT
- 5.1 BM-Ceramics will carry out the agreement to the best of its knowledge and ability and in accordance with professional standards.
6. PAYMENT TERMS
- 6.1 All prices are stated in the local currency of the webshop (GBP for UK customers, EUR for EU customers).
- For B2C customers, prices include all taxes (including VAT) and, for UK deliveries, all customs duties and import fees (Delivery Duty Paid / DDP). UK consumers will not incur additional import costs on delivery.
- For B2B customers within the EU with a valid VAT number, VAT can be reverse-charged under EU intra-community supply rules.
- For B2B customers in the UK, prices exclude UK import VAT and duties. The UK business customer is responsible for all import procedures and any costs, taxes or duties due on import.
- Any increase in VAT or other taxes between the quotation/agreement and delivery will be borne by the customer.
- 6.2 Payment for standard products is due at checkout via the available payment methods on our website.
- 6.3 For custom orders, an invoice will be issued. Unless otherwise agreed in writing, BM-Ceramics invoices are payable within 8 days. Disputes must be communicated in writing by email within seven working days of the invoice date. Disputes do not suspend or delay payment.
- 6.4 All invoices are payable by bank transfer to Breugelmans BV by the due date. Any discounts granted lapse if the general terms of sale are not respected.
- 6.5 If payment is not made within 8 days of a payment reminder, the client owes BM-Ceramics late-payment interest at 12% per year plus a fixed fee of 10% of the invoice amount (minimum £50 or €50, depending on billing currency). Interest is calculated from the date of reminder until full payment. BM-Ceramics also reserves the right to suspend further obligations until all outstanding invoices are paid. Any delay in payment makes all amounts immediately due. The client may not use any BM-Ceramics creations if payment is outstanding.
- 6.6 BM-Ceramics is entitled to terminate the agreement with immediate effect (in whole or in part, temporarily or permanently) if the client fails to meet one or more of their obligations under this agreement (such as non-payment). The client is not entitled to any refund of advance payments or damages. BM-Ceramics will notify the client. BM-Ceramics also has the right to terminate the agreement immediately without further notice if the client is declared bankrupt, requests or accepts a legal settlement, or is otherwise in a state of insolvency.
7. SHIPPING AND DELIVERY
- 7.1 For B2C orders delivered to the UK, BM-Ceramics ships Delivery Duty Paid (DDP). All import duties and taxes are prepaid so UK consumers will not incur any additional charges on delivery.
- 7.2 For B2B customers in the UK, delivery is Delivered At Place (DAP): the UK business customer is responsible for any import declarations, duties, VAT or fees upon import.
